Synopsis:

Introduction to legal terminology. Legal regulation of business in the czech republic. Legal regulation of business in european union and legally binding regulation for business subjects in the czech republic. Basic legal regulations concerning business activities. Introduction to commercial law ? Basic concepts, commercial law obligation relationships, business entities, co-operatives, public control. Introduction to civil law ? Basic concepts, civil law obligation relationships, personal entities and legal entities, analogy of law, public control. Introduction to trade law ? Basic concepts, rights and duties of businessmen, business trade operation, commencement and types of trade authorization, public control. Introduction to labour law - basic concepts, labour law relationships, types of contractual relationships, public control. Protection of the competition. Enforcement of law and executive proceedings.

Syllabus of lectures:

1.General part i

Introduction to legal terminology. Legal regulation of business in the czech republic and european union, public international law and private international law, international treaties.

2.Business law regulations.

Legally binding and enforceable decisions of public administration bodies and local authority bodies in the czech republic and european union, territorial principle.

3.Special part i

Introduction to commercial law. Basic concepts, types of entities, conditions for establishment, content of obligation relationships, general and specific conditions for exercise of corporate office, legal reason for terminating and liquidating of business.

4.Business entities

Limited liability company. Character and conditions for establishment of limited liability company, legal position of statutory representatives (executives), legal bodies, capital structure, terminating and liquidating of business.

5.Business entities

Joint stock company. Character and conditions for establishment of join-stock company, significance of successive and simultaneous establishment, shareholders positions, legal bodies, capital structure, terminating and liquidating of business.

6.Business entities

Limited partnership. Character and conditions for establishment of limited partnership, position of general partners and limited partners, legal bodies, capital structure, terminating and liquidating of business.

7.Business entities

General partnership. Character and conditions for establishment of general partnership company, position of executives, legal bodies, capital structure, terminating and liquidating of business.

8.Business entities

Co-operation, interest based association of legal entities. Character and conditions for establishment of , position of members, legal bodies, capital structure, terminating and liquidating of business.

9.Types of contracts

Legal regulation of contracts, legal subjects of regulation, content, obligatory and facultative contractual appurtenances, work contract, contract of purchase, mandate contract.

10.Special part ii

Introduction to civil law. Basic concepts, material and local competence, legal facts, obligatory and facultative appurtenances of legal acts, subsidiarity of law.

11.Types of contracts

Legal regulation of contracts, legal subjects, content, obligatory contractual appurtenances, work contract, contract of purchase, mandate contract, protection of competition, enforcement of law and execution proceedings in the Czech Republic and European Union.

12.Introduction to trade law

Basic concepts, rights and duties of businessmen, business trade operation, commencement and types of trade authorization, public control.

13.Introduction to labour law.

Basic concepts, types of labour law relationships, obligatory and facultative appurtenances of employment contract, employment contracts, managerial contract.

14.Types of contract

Legal regulation of contracts, legal subjects, content, obligatory and facultative contractual appurtenances, work contract, contract of purchase, mandate contract.
