Anotace:

Students understand the basic issues when engaging in business activities in the CR and in the EU. Students learn to establish companies, gain necessary business permits, conclude commercial or civil contracts. Students also get acquainted with the principles of antitrust regulation and learn to resolve disputes in the area of business, labour, or civil relationships in courts.

Osnova přednášek:

1. Introduction to legal terminology. Legal framework for businesses in the Czech Republic. Legal regulations applying to business.

2. Introduction to commercial law. Basic types of companies. General and special requirements for establishing companies.

3. Legal status of a limited liability company. General and special requirements for its establishment. Legal status of the founders. Essential bodies of the company. Liability. Legal aspects of company dissolution or liquidation.

4. Legal aspects of successive and simultaneous establishment. Rights and obligations of shareholders. Essential bodies of a corporation. Capital flows in a corporation.

5. Characteristics of a limited partnership. General and special requirements for its establishment. Legal status of the principal partner and the limited partners.

6. Characteristics of a public limited company. Establishing documents. General and special requirements for its establishment. Legal status of the partners.

7. Introduction to civil law. Basic classification of civil relationships. Legal bases for contracts. Obligatory and facultative elements of a contract. Subject of contractual relationships. Jurisdiction. Legal acts. Subsidiarity.

8. Basic types of contracts. Legal aspects of a work for hire. Contents and enforceability of purchase contracts. Disposition and agency contract. Enforceability of obligations. Execution of decisions, execution titles.

9. Introduction to trade law. Basic concepts. Rights and obligations of sole proprietors. Classification of trade permits. General and special requirements. Public control. Change and cessation of a sole proprietorship.

10. Introduction to labor law. Basic classification of labor relationships. Establishment, change, cessation of employment. Employers rights and obligations. Obligatory and facultative elements of a work contract. Management contract.

11. Legal framework for agreements. Disputes arising from labor relations. Basic types of damages. Settlement of damages, causal nexus. Legal aspects of settlement agreements. Legal obstacles in the area of labor law in the European Union.

12. Introduction to administrative justice. System of courts. Highest administrative court of the Czech Republic. Legal aspects of a cassation complaint. Execution.

13. Introduction to EU law. Competences of EU executive bodies. Validity of decisions of EU bodies. Characteristics of the decision-making process. Publication of EU legislation. Execution of decisions.

10. Labor law. Other types of employment contracts.

11. Labor law. Preparation of a lawsuit for compensation of damages.

12. Proceedings before EU bodies. Complaint of a violation of EU legislation.

Cíle studia:

The module introduces the students to the basic issues when engaging in business activities in the Czech Republic and in the European Union. Students learn to establish companies, gain necessary business permits, conclude commercial or civil contracts. Students also get acquainted with the principles of antitrust regulation and learn to resolve disputes in the area of business, labour, or civil relationships in courts.
