Synopsis:

The main purpose of the course is to give to grad students basic overview of legal aspects in the top management in the most important institutions. The course is specially focused on management of trading companies, which belong to the mostly used type of running a business.

Requirements:

Good knowledge of legislation and awareness of the following problem areas:

1 Conceptual definition and legal regulation of business in the Czech Republic

2 Entrepreneurs and types of Entrepreneurship

3 Companies (in EC and EEIG)

4 Business cooperation, particularly group (holding)

5 Administrative management

6 Conditions for the function of statutory authority

7 Obstacles to function of the statutory authority

8 Management Agreement and the agreement on a position

9 Responsibility of senior management in connection with the performance of their duties

10. Business management

Syllabus of lectures:

System of business law in the Czech Republic. Institutional forms of running business focused to trading companies. Trust (holding). Business leading of company. Administrative procedure of company. Individual and multiple statutory bodies and its agency. Conditions of discharge of office as an statutory body and limits in it. Manager post agreement and agreement about discharge of an office. Responsibility related to the top manager posts in companies. Basic look in to legal regulations of business and trading companies in EU. Societas Europaea .
